Terms of Service

Welcome to Cadence Vivo. These Terms of Service ("Terms") govern your use of cadencevivo.com (the "Site") and the services provided by Cadence Vivo, a brand and service line operated by Cadence Flow ("we," "us," or "our"). By accessing the Site, booking a free audit, or signing up for our services, you agree to these Terms.

Quick summary: We provide done-for-you AI and automation systems for local service businesses across SoCal. Our agreements are month-to-month. You can pause or cancel anytime. We don't sell your data. You own your customer information.

1. Who We Are

Cadence Vivo is a service line of Cadence Flow, an operations and consulting business based in Downey, California. Our principal place of business is Downey, CA. You can reach us at [email protected] or (562) 418-5157.

2. The Services

Cadence Vivo provides done-for-you AI and automation services for local service businesses, including but not limited to:

  • Automated Google review request systems
  • Google Business Profile optimization and management
  • AI voice agents and AI assistants (SMS, email, review responder)
  • Custom workflow automation
  • Lead management pipelines and missed-call text-back
  • Past customer reactivation campaigns
  • Bilingual (English / Spanish) communications

The exact scope of services depends on the tier you select (Foundation, Authority, or Authority + AI) and any à la carte add-ons. Specifics will be documented in your individual service agreement.

3. Free Visibility Audit

We offer a free 15-minute visibility audit via Google Meet. During this call, we will review your publicly available business data (Google reviews, Map Pack position, Google Business Profile health) and walk through gaps and opportunities. The audit is provided at no cost and creates no obligation to purchase.

4. Payment Terms

Service tiers include a one-time setup fee and a recurring monthly fee. Current published rates are listed on cadencevivo.com. Specific pricing for your business will be confirmed in your service agreement.

  • Setup fees are billed upon agreement signing and are due before work begins.
  • Monthly fees are billed in advance on a month-to-month basis.
  • Late payments may result in service pause until the account is brought current.
  • Failed payments may result in suspension of automated systems and AI services.

5. Term, Cancellation, and Refunds

All Cadence Vivo agreements are month-to-month with no long-term contract. You may pause or cancel your service at any time with written notice (email is sufficient) at least 7 days before the next billing date. Setup fees are non-refundable once work has begun. Monthly fees are non-refundable for the current billing period at the time of cancellation. We do not pro-rate partial months.

We reserve the right to pause or terminate service for non-payment, breach of these Terms, or any conduct we determine in good faith to be harmful to us, our other clients, or third parties.

6. SMS and Communications

You must be 18 years of age or older to use this SMS service. By opting in to receive SMS messages from Cadence Vivo, you represent and warrant that you are at least 18 years old.

SMS messaging from Cadence Vivo is a separate, optional service. Providing your phone number to us (through our chat widget, intake forms, or service agreements) does not by itself opt you into receiving text messages. You will only receive SMS from us if you have affirmatively opted in by checking the dedicated SMS consent box on the form where your number was collected, or have otherwise provided express written consent.

Consent to receive SMS is not a condition of purchasing or using any Cadence Vivo service. You may book your free audit, sign up for services, and remain a client without ever opting in to SMS. You may opt out at any time without affecting your service.

If you opt in, you may receive:

  • Service-related messages, appointment reminders, and updates
  • Lead follow-up and customer care messages
  • Promotional messages (where you have separately opted in)

Message and data rates may apply. Message frequency varies. Reply STOP at any time to opt out. You will be unsubscribed immediately. Reply HELP for assistance. By opting in, you confirm that the phone number provided belongs to you or that you have authorization to consent on behalf of the account holder.

Carrier Liability Disclaimer

Carriers (Verizon, AT&T, T-Mobile, and all other mobile carriers) are not liable for delayed or undelivered messages. Cadence Vivo is not responsible for any failure, delay, or interruption of message delivery caused by your wireless carrier, the recipient's device, network outages, or any other carrier-side or device-side condition outside our control.

Privacy Policy

For full details on how we collect, use, store, share, and protect SMS-related data (including phone numbers, opt-in records, message history, and third-party sharing with Twilio and mobile carriers), see our Privacy Policy. The Privacy Policy is incorporated into and forms part of these Terms.

Our SMS practices comply with the Telephone Consumer Protection Act (TCPA), the CTIA messaging principles, and the A2P 10DLC carrier framework. We do not share or sell SMS opt-in data or phone numbers with third parties for their marketing purposes.

7. AI Services Disclosure

Some of our services use artificial intelligence, including but not limited to AI voice agents, AI chat assistants (Vicky), AI review responders, and AI-powered workflow automation. When you interact with one of our AI systems, you are interacting with an automated agent, not a human. AI systems will identify themselves as AI when asked. This disclosure is provided in compliance with California SB 1001 (Bot Disclosure Law) and similar laws in other jurisdictions.

AI-generated responses may contain errors. We do not guarantee the accuracy or completeness of any AI output. Important decisions should be verified with a human team member.

8. Data Ownership

You retain all rights, title, and interest in your customer data, customer lists, business information, and any content you provide to us. We use this data solely to provide the services described in your agreement. We do not sell your data. If you terminate service, you may export your data at any time, and we will return or delete it upon request, subject to applicable law.

You grant us a limited, non-exclusive license to use your data only to deliver the services. We may use anonymized, aggregated data for internal analytics and service improvement.

9. Intellectual Property

The Cadence Vivo and Cadence Flow brand names, logos, marks, content, software, automation templates, AI prompts, and proprietary systems are owned by Cadence Flow. You receive a limited, non-transferable license to use these for the duration of your active service agreement. You may not resell, redistribute, or repackage our services without written permission.

10. Acceptable Use

You agree not to use Cadence Vivo services to:

  • Send unsolicited messages, spam, or content that violates TCPA, CAN-SPAM, or A2P regulations
  • Engage in fraudulent, deceptive, or unlawful activity
  • Violate any third-party intellectual property or privacy rights
  • Send messages to phone numbers without explicit, documented consent
  • Promote age-gated content (alcohol, tobacco, cannabis, firearms, gambling, adult content) without explicit prior approval and compliance review
  • Resell our services to third parties

You are responsible for ensuring that all customer contacts uploaded into our systems have provided valid consent to receive communications.

11. Third-Party Services

Our services integrate with third-party platforms, including but not limited to GoHighLevel (LeadConnector), Google Business Profile, Meta (Facebook/Instagram), Yelp, Houzz, Anthropic (Claude AI), OpenAI, Zapier, and Twilio. Your use of these platforms is subject to their respective terms of service and privacy policies. We are not responsible for third-party platforms' actions, outages, or policy changes.

12. Disclaimers

Cadence Vivo services are provided "as is" and "as available." We do not guarantee specific business results, including but not limited to specific review counts, Map Pack rankings, lead volumes, conversion rates, or revenue increases. Results depend on many factors outside our control, including market conditions, competition, the quality of your business operations, and customer behavior.

We do not warrant that the services will be uninterrupted, error-free, or that all defects will be corrected.

13. Limitation of Liability

To the maximum extent permitted by law, Cadence Vivo, Cadence Flow, and their respective affiliates, officers, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the services.

Our total cumulative liability for any claim arising under these Terms shall not exceed the amount you have paid to us during the 90 days immediately preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Cadence Vivo, Cadence Flow, and their respective affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the services, your violation of these Terms, your violation of any law, or your violation of any third-party rights.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any dispute arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California. You and we agree to submit to the personal jurisdiction of those courts.

Before initiating any formal dispute, both parties agree to attempt good-faith resolution by direct communication for at least 30 days.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or by notice on cadencevivo.com at least 14 days before they take effect. Continued use of the services after changes constitute your acceptance of the revised Terms.

17. Eligibility

You must be at least 18 years of age and have the legal authority to enter into a binding contract to use our services. By accessing the Site, booking a free audit, signing up for our services, or providing your information through any of our forms or chat tools, you represent and warrant that you are at least 18 years old and have the capacity to agree to these Terms on your own behalf or on behalf of the business you represent.

We do not knowingly offer services to or collect personal information from individuals under the age of 18. If we become aware that we have entered into an agreement with or collected information from a minor, we will terminate the account and delete the information promptly.
